01 • AGREEMENT

These Terms bind you to Metric Bloom

By engaging Metric Bloom — through a signed proposal, subscription, or written instruction to proceed — you agree to these Terms. They cover all services: fractional marketing retainers, AI agent builds, social media, CRM, brand partnerships, and ad hoc work.

If you are signing on behalf of a company, you confirm you have authority to bind that entity.

02 • OUR SERVICES

What we deliver

We provide human-centric, AI-powered marketing to businesses across the UAE and GCC. Specific deliverables and timelines are defined in your Proposal — which takes precedence over these Terms if there's a conflict.

03 • ENGAGEMENT & YOUR RESPONSIBILITIES

How our engagements work

All paid engagements have a 3-month initial commitment, then roll monthly with 30 days' written notice to cancel. To deliver results, we need you to:

– Provide timely access to platforms, brand assets, and business info

– Assign a point of contact who responds within 2 business days

– Supply accurate briefs, audience data, and context

– Hold all necessary licences for materials you provide

Delays from late client responses may affect timelines — we won't be responsible for missed deadlines in those cases. Revisions beyond agreed scope will be quoted separately.

04 • PAYMENT & FEES

Billing and payment terms

– Billing — Invoiced monthly in advance, due within 7 days. Fees in AED, excluding 5% UAE VAT.

– Late payment — Work pauses after 14 days overdue; 2% monthly interest may apply.

– Ad spend — Separate from our fees; funded directly by you via Meta, Google, TikTok, etc.

– Price changes — 30 days' written notice. Applies from the next billing cycle.

– Refunds — Retainers are non-refundable once a period begins. Fees for the 3-month commitment remain due on early cancellation.

05 • INTELLECTUAL PROPERTY

Who owns what

Your content

You own all assets and materials you provide. We use them only to deliver your services.

Your deliverables

Ownership transfers to you on full payment. We may use finished work in our portfolio unless you request otherwise in writing.

Our IP

Our methodologies, AI systems, automations, and frameworks remain exclusively ours. Engaging our services does not grant you a licence to our underlying systems.

Third-party tools

GoHighLevel, WhatsApp Business API, and others are subject to their own terms. We're not liable for platform changes that affect service delivery.

06 • ACCEPTABLE USE

How you may not use our services

You agree not to use Metric Bloom's services to:

– Promote illegal products or activities under UAE Federal or Emirate-level law

– Publish defamatory or discriminatory content (UAE Cybercrime Law No. 34 of 2021)

– Mislead or defraud audiences — including false advertising under UAE Consumer Protection Law

– Violate individual privacy under UAE PDPL (Federal Decree-Law No. 45 of 2021)

– Spam, phish, or send unsolicited bulk messages via WhatsApp or email

– Conflict with UAE public order, morals, or religious values

We reserve the right to refuse or stop work on any campaign we deem non-compliant, without liability.

07 • RESULTS & LIABILITY

What we can and cannot guarantee

We commit to skilled, diligent work — not specific outcomes. Marketing results depend on factors outside our control.

We don't guarantee follower counts, lead volumes, ROAS, or revenue growth. Our total liability for any claim is capped at fees paid in the 3 months before the claim. We're not liable for indirect losses including lost profits, lost data, or reputational damage.

You agree to indemnify Metric Bloom against claims arising from your breach of these Terms or materials you provide.

08 • CONFIDENTIALITY

What stays between us

Both parties keep non-public information confidential — including strategy, pricing, client data, and proprietary processes. This doesn't apply to publicly available information or disclosures required by UAE law. We won't share your business information with third parties except where needed to deliver your services.

09 • TERMINATION

Ending the engagement

– After 3 months — Either party can end a rolling engagement with 30 days' written notice.

– Early exit — Remaining fees in the 3-month commitment period are still payable.

– For cause — Either party may terminate immediately on material breach not remedied within 7 days of written notice.

– On exit — We return your data and assets, transfer platform access, and issue a final invoice.

10 • GOVERNING LAW & UPDATES

Legal framework

These Terms are governed by UAE law. Disputes go to good-faith negotiation for 30 days first; if unresolved, to the competent courts of Dubai. We may update these Terms — material changes will be communicated by email or site notice. Continued engagement after notice means acceptance.
